The Deliberative Council is the club body responsible for overseeing the actions of the board, proposing statutory changes, granting titles to members, investigating various irregularities, among other functions.

According to Title V of Santos Futebol Clube’s Articles of Incorporation, the Deliberative Council is formed by Actual, Effective, Honorary, and Elected members, besides their respective substitutes.

The Councilors Natos are founding members, honorary president, president emeritus, grand merits, benefactors, and former presidents of the Presidency and of the Deliberative Council who have fully completed their terms.

Effective Directors are those eligible directors elected in seven (7) consecutive elections or those who have served on the board for twenty (20) years, in both cases, provided they have fully completed all their terms.

The Substitutes of Effective Directors are the directors who have automatically fulfilled the requirements listed to be Effective Directors and who, as the number of Effective Directors has reached the maximum limit provided for in item I of article 57 of the Bylaws, will not assume the positions of Effective Directors and form part of a list of alternates.

The alternates referred to in the previous paragraph will automatically occupy the positions of Effective Members whenever there is a vacancy in the list of Effective Directors, in accordance with the order contained in the list of alternates mentioned in the previous paragraph. Whenever 2 (two) or more directors fulfill, at the same time, the requirements to be effective, the order of the list of substitutes must observe the criterion of greater associative seniority in the Club. For the calculation of the foreseen term, the term of office of the alternate Elected Director will only be considered if he occupies the vacancy of holder from the first meeting of the Deliberative Council subsequent to the election of this body in an uninterrupted manner until the end of the term of office of the replaced Elected Director . On the other hand, the incumbent Elected Director who has his term suspended due to the performance of other functions in the club will have the time of director considered for the purpose of effectiveness.

Honorary Directors are the effective members of the Deliberative Council who, having completed 70 (seventy) years of age, opt for this category of director. They can participate in the Council meetings, without influencing the planned number of members. Honorary Councilors have optional attendance and no right to vote and to be voted for, subject, however, to their other statutory and regulatory rights and obligations. Effective members who are over 70 (seventy) years of age and do not opt for the category of Honorary Director will continue to be subject to the statutory and regimental provisions in force. The number of members in the Honorary Member category will be unlimited.

Responsibilities of the Deliberative Council

The main attributions of the Deliberative Council are set out in Article 45 of the Estatuto Social – Aprovado em Assembleia Extraordinária de 21.10.2023

1-Respecting and enforcing the provisions of the Club’s Bylaws, being able to determine the form of their application and interpretation, as well as to solve omitted cases, except when by law such competence is attributed to the General Assembly;

2-Elect the members of the Club’s Standing Committees and its Board of Directors, having terms of office of 2 (two) years, with the right to only one reelection;

3-Approval of the names of the Department Directors and Executive Managers;

4- Decide on the disposal of and encumbrance on the Club’s real estate and trademarks, with the presence of at least half of its members;

5- Decide on the report and accounts of the Presidency and the opinion of the Fiscal Commission;

6-Dismiss the members of the Permanent Commissions, with the presence of half of its members, when there is a violation of the legal or statutory provisions, or of the Council’s own determinations;

7- Proceed, on the initiative of the Board, at the request of the Presidency or 30 (thirty) directors, to amend the Bylaws, with the presence of at least half of its components, respecting the competence established by law and in the present to amend and reform of these Articles of Incorporation;

8-Apply penalties to the associates referred to in article 39 of the Bylaws;

9- Grant the titles of Honorary President and President Emeritus and those specified in articles 12, 13, 14, 15 and 16 of the Bylaws, requesting the Presidency the information it deems necessary, and voting on these concessions must be made by secret ballot;

10-Alter or create categories of members; create, fix or alter fees, values of titles, contributions, monthly dues, fees and other obligations to members;

11-Discuss, amend and vote on the annual budget proposed by the Presidency;

12- Deliberate on the Fiscal Commission’s representations regarding errors, irregularities, frauds or crimes verified in the Club’s administration, applying the statutory sanctions and communicating, if necessary, to the competent organ, so that those responsible may be judged according to the legislation in effect;

13- Investigate, when requested by 20 (twenty) board members, by the Board of Directors or by the Presidency, the responsibility of any of its members or of members of the Permanent Commissions, of the Presidency, of the Board of Directors, or of the Executive Managers;

14- Decide on the requests for resignation, leave of absence or vacancy of the members of its Permanent Committees, and on the leave of absence of the members of the Deliberative Council, the Board of the Council and the Club President and Vice-President;

15- Decide on the issues and incompatibilities that are submitted to them by any member of the Club Presidency, voting on the motions that the same submit to them;

16- Approve and supervise the fulfillment of the Strategic Planning proposed by the Presidency;

17- Approve the acquisition, disposal or encumbrance of shares or quotas of companies by the club, including by subscription;

18- Approve the statutes or social contracts of society in which the club has an equity partner participation and its amendments;

19- To determine the manner in which the Club President shall manifest himself as the Club’s representative in assemblies or meetings of members or shareholders, as the case may be, or in amendments to the Articles of Incorporation of companies in which the Club holds an equity interest.
